What is the Form ADV?

Form ADV is the uniform form used by investment advisers to register with both the Securities and Exchange Commission (SEC) and state securities authorities. The form consists of two parts. Part 1 requires information about the investment adviser’s business, ownership, clients, employees, business practices, affiliations, and any disciplinary events of the adviser or its employees. Part 1 is organized in a check-the-box, fill-in-the-blank format. The SEC reviews the information from this part of the form to process registrations and manage its regulatory and examination programs. Although designed for a regulatory purpose, investment adviser filings of Part 1 are available to the public on the SEC’s Investment Adviser Public Disclosure (IAPD) website at www.adviserinfo.sec.gov.
Part 2 requires investment advisers to prepare narrative brochures written in plain English that contain information such as the types of advisory services offered, the adviser’s fee schedule, disciplinary information, conflicts of interest, and the educational and business background of management and key advisory personnel of the adviser. The brochure is the primary disclosure document that investment advisers provide to their clients. When filed, the brochures are available to the public on the IAPD website.

Our clients receive a quarterly letter and performance measurement report for accounts we are managing for them. We also call or exchange e-mails as the need arises and your certified financial planner can meet with you in person as often as you need, a minimum of once per year. Some of our clients e-mail between letters to ask how the market is doing or with questions about some aspect of financial planning, TIAA Cref retirement plans, or investing. Jeff Sprowles and Associates, LLC is a fee-only financial services organization. Unlike other advisors who are paid by the companies they invest your money with, being a fee-only financial planner means we do not accept money from anyone but our clients. We care about you and we work for you. Because you deal directly and only with us (and vice-versa), you can be confident that only your best interests are paramount. We are on your side in all financial situations and we will work with you one on one to achieve your financial goals.
Most financial planning and investment advisory clients pay a fixed quarterly fee that is determined after an analysis of the clients' needed services. The initial consultation is free of charge. The minimum quarterly fee is $250. Fees are charged in advance, and a refund for any unearned fees will be provided if the relationship should end. An annual meeting is required for all clients, although most clients meet more frequently than annually with a Jeff Sprowles and Associates, LLC planner. At the annual meeting, the fee is reviewed and adjusted for the next year if appropriate.
Clients who want a simple analysis of life insurance policies, investment portfolios or some other service that does not involve ongoing services are charged either a quoted fixed fee or $250 per hour plus out of pocket expenses for any travel beyond 25 miles from Langhorne, PA. Clients who want a financial plan without any investment management are charged a fixed fee that ranges from $1,000 to $25,000 depending on complexity. Updates of these plans cost 25% of the initial fee.

Jeffrey A. Sprowles has been managing financial matters for others since 1973. A native of Philadelphia, his undergraduate degree is from Princeton University. He is a graduate of the National Graduate Trust School and the Pennsylvania Trust School, and has certificates from the College of Financial Planning in Denver, Colorado: American Management Association and the American Institute of Banking. He holds Pennsylvania life and health insurance licenses and NASD series 65 certification.
Jeff worked in the trust industry from 1973 through 1998 including positions as Senior Vice President managing trust divisions for Commonwealth National Bank, Mellon Bank, Bucks County Bank and Corestates. He worked for four years at Glenmede Trust Company of New Jersey. He founded Mercadien Asset Management Company in Princeton, New Jersey, and a trust department for First Federal of Bucks County.
